NOTICE OF SUMMER VOTE OF MEMBERSHIP CONCERNING CONSTITUTION CHANGE PROPOSAL

THE EXECUTIVE BOARD OF OCDA is proposing this change to the Constitution and By-Laws. The membership will vote on this proposal during the business meeting at the summer conference.

Proposal:  A quorum for a meeting of the Executive board of OCDA will comprise at least three executive committee members plus two other board members.

See the present Constitution for the make-up of the Board and definition of offices: LINK

Reason for proposal: Several years ago the association included all R&S Chairs as Board members, creating a large Board, the size of which makes it sometimes difficult to achieve a quorum, when counting the full size of the Board. Approval of this proposal would allow business to be conducted with a smaller number of Board members present.
Having been approved by two previous meetings of the Board, a vote of approval by the membership would replace present wording with the new wording above.
